Evaluation unit loan agreement

This agreement is between IN4IT LLC d/b/a EmbeddedCI, a Texas limited liability company, 5900 Balcones Dr, STE 100, Austin, TX 78731, USA ("Lender"), and the company or person that receives the unit ("Borrower"). It takes effect when Borrower replies to Lender's email with "I agree" or first uses the unit, whichever comes first.

Unit(s): BenchPod evaluation board(s), with the serial number(s) and quantity on the packing slip and in Borrower's EmbeddedCI account.

1. Loan, not sale. Lender lends the unit free of charge for evaluation. Title stays with Lender at all times. Nothing here is a sale, lease or license to resell.

2. Permitted use. Borrower's qualified engineers may use the unit only for evaluation, testing and development in a laboratory or R&D setting at the address Lender shipped it to.

3. Prohibited use. Borrower will not (a) put the unit into regular service or production, (b) integrate it into any product or system delivered to a third party, (c) sell, lease, lend or give it to anyone else, including affiliates, or (d) supply it to consumers.

4. Regulatory status. The unit is a prototype evaluation device. It is an evaluation kit, not a finished product, and is not FCC approved for resale. It may not be resold or marketed until the required FCC authorizations are obtained. Operation is subject to the conditions that the unit not cause harmful interference to licensed radio stations and that it accept harmful interference. Borrower will operate it only in a lab environment, under part 15 of the FCC rules or under an FCC license or experimental authorization.

5. Network security. Borrower will operate the unit only on a trusted, non-public lab network.

6. Term and return. The loan has no fixed end date. If Lender wants the unit back, Lender will say so in advance and supply a prepaid return label. Borrower may also return the unit at any time with a prepaid label Lender supplies on request.

7. Location and contact. Borrower keeps the unit at the address Lender shipped it to and tells Lender before moving it. The person who registered the unit in their EmbeddedCI account is responsible for it and is Lender's contact for it, unless Borrower names someone else by email to hello@embeddedci.com.

8. Risk and condition. Borrower bears the risk of loss or damage from delivery until Lender receives the unit. The unit is provided as is, without warranty. Neither party is liable for indirect or consequential damages.

9. Confidentiality. The unit, its firmware and its documentation are Lender's confidential information. Borrower will not copy the firmware or reverse engineer the hardware design.
